Welcome to Niopub ("Niopub," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Niopub application, website, and associated services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must discontinue use of the Service.
Niopub is an AI companion platform where users ("Users") configure and interact with AI-powered digital agents ("Agents"). Users may create Agents by providing User-Provided Context, such as prompts, personality descriptions, documents, images, or other informational materials that help the Agent operate.
Niopub runs all Agents on its own infrastructure, including GPUs, servers, orchestration tools, and operational logic. Users do not host, publish, or distribute content through Niopub; they simply provide contextual data used internally by Niopub's systems to generate AI outputs.
Agents may be set to public (available for all Users to chat with) or private (available only to the creator).
Niopub does not function as a social content-hosting platform and does not enable the sale, posting, or distribution of user-generated content.
The Service is provided free of charge to all users. There are no subscriptions, premium tiers, paid features, or in-app purchases. All users have equal access to all functionality regardless of payment activity.
You may use the Service only if you:
The Service is not intended for children under 18. We do not knowingly allow anyone under 18 to create an account or use the Service. If we learn that a user is under 18, we will promptly terminate their account and delete their data.

You retain rights to the context you provide solely for the purpose of configuring or operating an Agent.
By supplying context, you grant Niopub a non-exclusive, worldwide, royalty-free, sublicensable, perpetual, irrevocable license to store, process, transform, and use such context only for operating, maintaining, improving, securing, and training Niopub's systems, including the operation of Agents on Niopub's infrastructure. This license survives termination of your account.
User-Provided Context is not treated as publicly posted content. It is used internally by Niopub's AI systems and is not distributed or sold to other users.
You may not supply context that:
Niopub may restrict or remove any Agent containing prohibited context and may report illegal content to law enforcement.
Agents generate responses using AI models operated exclusively by Niopub. Niopub does not guarantee the accuracy, completeness, or appropriateness of any Agent response.
Users interacting with Agents understand and agree that:
Niopub is not liable for any damages or decisions made in reliance on Agent outputs. Any reliance on Agent outputs is at your own risk.
Users may optionally send tips to creators of public Agents as a voluntary gift of appreciation for making an Agent available. Tips are person-to-person transfers of money from one user directly to another user. Tips are not payments for goods, services, digital content, or in-app features. Sending a tip does not entitle the sender to any specific output, access, feature, functionality, or benefit within the Service. No features, content, subscriptions, or capabilities are unlocked, granted, or modified as a result of sending or receiving a tip.
Tips are processed entirely through Stripe, a third-party payment processor. When a user sends a tip:
Niopub does not hold, custody, or have access to any creator's bank account. Creators connect their own bank accounts directly to Stripe during the Stripe Connect onboarding process. Niopub acts solely as a facilitator of this peer-to-peer transfer and never takes possession of creator funds.
Niopub collects a platform fee from each tip to fund the operation of the free AI service, including infrastructure, compute, and payment processing costs. The fee structure is as follows:
The remaining amount after the platform fee is transferred directly to the creator's bank account through their Stripe Connected Account.
Payout frequency from the creator's Stripe Connected Account to their bank account is managed by Niopub to ensure smooth platform operation. In the event of disputes or violation of payment terms, Niopub reserves the right to freeze the connected account to protect other creators on the platform. Niopub is not financially liable for any transactional or content violations carried out by a creator. All losses arising from such violations will be borne by the owner of the connected bank account.
To receive tips, Users must:
Stripe may suspend or restrict payouts at its discretion, which may affect your ability to receive tips. Niopub has no control over Stripe's decisions.
Users receiving tips are solely responsible for reporting tip income and paying any applicable taxes. Niopub does not provide tax advice and is not responsible for any tax obligations arising from tips.
Niopub is not a marketplace and does not facilitate the sale or purchase of any goods, services, digital content, or in-app features. Tips are purely voluntary person-to-person monetary gifts between users and do not constitute a commercial transaction. No digital goods, premium content, subscriptions, features, or enhanced access of any kind are exchanged in connection with tips. The Service operates identically for all users regardless of whether they send or receive tips. Tips are not in-app purchases as defined by any app store platform. No app store payment system is required or applicable to process tips, as tips constitute direct person-to-person monetary gifts unrelated to any digital goods or services.

Niopub employs automated and manual measures to enforce compliance with these Terms. We reserve the right to:
Users may report problematic Agents or content by contacting support@niopub.com. We will review reports promptly and take appropriate action.
Niopub collects and processes personal data as described in our Privacy Policy. We may store interaction logs, context data, and telemetry for security, diagnostics, compliance, and product improvement.
Niopub does not sell user data.
Apart from User-Provided Context, all technology, models, design, documentation, and intellectual property related to the Service belong exclusively to Neosphere Inc.
Niopub respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA). If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our designated agent with the following information:

Without limiting Section 17 (Termination), Niopub may immediately suspend your access to the Service or any Agent if:

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
Niopub does not guarantee:
Niopub reserves the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.
To the fullest extent allowed by law, Niopub shall not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages of any kind, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses.
Niopub's total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) USD $100 or (b) the total amount you have paid to Niopub in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless Neosphere Inc., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
Before filing any formal dispute, you agree to first contact us at support@niopub.com and attempt to resolve the dispute informally for at least thirty (30) days.
If we cannot resolve a dispute informally, you and Niopub agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service through binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration will be conducted in English. The arbitrator's decision will be final and binding.
YOU AND NIOPUB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU AGREE TO WAIVE THE RIGHT TO A TRIAL BY JURY.
You may opt out of the arbitration and class action waiver provisions by sending written notice to support@niopub.com within thirty (30) days of first accepting these Terms. Your notice must include your name, email address associated with your account, and a clear statement that you wish to opt out of arbitration.
Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdictional limits.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction and venue of the state and federal courts located in New Castle County, Delaware.
If you are a consumer in the European Economic Area (EEA) or United Kingdom (UK), nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence.
Niopub may suspend or terminate your account or any Agent at any time, for any reason, including but not limited to violation of these Terms, inactivity, or operational needs, with or without notice.
You may terminate your account at any time by deleting your account through the Service or by contacting support@niopub.com.
Upon termination, your right to use the Service ceases immediately. Any pending tip payouts will be processed in accordance with Stripe's policies. We may retain anonymized or aggregated data as permitted by our Privacy Policy.
Sections 5.2 (License to Niopub), 6 (AI-Generated Outputs), 7 (Tips and Monetization), 10 (Intellectual Property), 12 (Disclaimers), 13 (Limitation of Liability), 14 (Indemnification), 15 (Dispute Resolution), 16 (Governing Law), and this Section 17 shall survive termination.
We may update these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on the Service and updating the "Last Updated" date. Where required by law, we will provide at least thirty (30) days' notice of material changes. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
