Privacy Policy

Niopub ("Application") is owned and operated by Neosphere Inc. ("Company," "we," "us," or "our"), a Delaware C-Corporation. We are committed to protecting your privacy and handling your information responsibly. This Privacy Policy explains how we collect, use, store, share, and protect your information when you use our application, website, and related services (collectively, the "Service").

By accessing or using the Service, you agree to the practices described in this Privacy Policy. If you do not agree, please do not use the Service.

1. Information We Collect

a. Personal Information You Provide

Guest Users

Guests may interact with public AI Agents without registering an account. No personally identifiable information is required.

Registered Users

When you create an account or configure AI Agents, we may collect:

  • Email address
  • Username
  • Authentication data from third-party sign-in providers (Apple Sign In, Google Sign In via Firebase), including your name, email address, and unique account identifier as provided by the sign-in provider
  • Information required during Stripe Connect onboarding, including identification and bank account details (collected and handled directly by Stripe — Niopub does not have access to your bank account information)

b. Automatically Collected Information

When you use the Service, we may automatically collect:

  • Device identifiers, hardware model, and operating system
  • IP address and browser information
  • Mobile advertising identifiers (e.g., Apple IDFA, Google Advertising ID) if permitted by your device settings
  • Usage data, including timestamps, interaction logs, pages visited, features used, and navigation events
  • Performance metrics, diagnostics, crash logs, and telemetry
  • General location data inferred from your IP address (we do not collect precise GPS location)

b2. Cookies and Tracking Technologies

Our website may use cookies, web beacons, and similar tracking technologies to:

  • Maintain your session and authentication state;
  • Remember your preferences;
  • Analyze usage patterns and improve the Service;
  • Prevent fraud and enhance security.

You can control cookies through your browser settings. Disabling cookies may affect certain functionality of the Service. Our mobile applications do not use cookies but may use similar device-based identifiers as described above.

c. User-Provided Context

Users may submit contextual information ("User-Provided Context") used to configure or operate AI Agents. This may include:

  • Prompts, instructions, and personality or role descriptions
  • Documents, text files, notes, or other data
  • Images or media files
  • Interaction messages exchanged with Agents
  • Configuration details such as search or media generation settings

Niopub stores User-Provided Context solely to operate and improve the Service. This data is not treated as publicly posted content.

d. Permissions

With your permission, we may access device storage, camera, or media libraries solely for uploading files used as context for Agents.

2. How We Use Your Information

We use your information to:

  • Operate, maintain, and improve the Service and AI Agents
  • Create, authenticate, and manage user accounts
  • Process and store User-Provided Context for Agent functionality
  • Facilitate peer-to-peer tip transfers between users via Stripe
  • Communicate service updates, support messages, and security notifications
  • Personalize your experience and recommend relevant Agents
  • Analyze aggregated or anonymized data for performance, product development, and research
  • Improve, train, and develop Niopub's AI systems and models
  • Prevent fraud, enforce policies, and maintain security
  • Comply with applicable laws, regulations, and Stripe requirements

We do not sell personal information.

AI Training Disclosure

Niopub may use anonymized or aggregated interaction data to improve, train, and develop our AI systems. Conversation logs may be used to improve Agent quality, safety, and performance. If you do not wish your interaction data to be used for AI improvement purposes, you may opt out by contacting support@niopub.com. Opting out will not affect your ability to use the Service.

3. Data Storage and Retention

  • Account data (email, username, authentication records) is retained for the duration of your account.
  • Interaction logs and messages may be stored for up to twelve (12) months to support functionality, diagnostics, and AI improvement, after which they are automatically deleted or anonymized.
  • User-Provided Context is stored as long as necessary to operate your Agents or until you delete it.
  • Payment and transaction records are retained for a minimum of seven (7) years for tax and legal compliance purposes.
  • Anonymized or aggregated data, including data used for AI training, may be retained indefinitely.
  • You may request deletion of your personal data at any time. Upon account deletion, we will delete or anonymize your personal data within thirty (30) days, except where retention is required by law or for legitimate business purposes (e.g., fraud prevention, legal compliance).

4. Sharing Your Information

a. Service Providers

We may share operationally necessary information with trusted vendors who assist with hosting, analytics, infrastructure, and customer support. These parties are contractually obligated to safeguard your information and process it only as instructed.

b. AI Model Providers

To generate Agent responses, we transmit conversation data (including your messages and User-Provided Context) to third-party AI model providers, which may include Anthropic (Claude), Google (Gemini), and Together AI. These providers process your data solely to generate responses and are contractually prohibited from using your data for their own training purposes. We select providers based on their privacy and security commitments.

c. Stripe Connect (Tips and Payments — No Digital Goods)

If you choose to receive tips, required identification and bank account information is collected and handled directly by Stripe during Stripe Connect onboarding. Niopub does not have access to your bank account details. Niopub shares only the minimum information necessary with Stripe to facilitate peer-to-peer tip transfers, including transaction amounts and user identifiers. Stripe governs its own use of this data under the Stripe Privacy Policy. Tips are voluntary peer-to-peer transfers between users — they are not purchases of digital goods, content, features, or in-app items.

d. Legal Obligations

We may disclose information when required by law, regulation, subpoena, warrant, court order, or governmental request, or when we believe disclosure is necessary to protect the rights, property, or safety of Niopub, our users, or the public.

e. Business Transfers

Your information may be transferred in the event of a merger, acquisition, reorganization, or asset sale involving Neosphere Inc. We will notify you of any such transfer and any choices you may have regarding your information.

f. Public Agents

If you create a public Agent, certain information about that Agent (such as its name, description, and configuration) is visible to all users of the Service. If a public Agent becomes widely used, we may preserve that Agent's configuration and keep it available on the Service even if you subsequently delete your account.

g. Third-Party Agent Integrations

If you allow external tools or APIs to interact with your Agent, we do not control how those third parties use your data. Exercise caution when enabling external integrations.

5. Your Rights and Choices

Depending on your location, you may have some or all of the following rights regarding your personal information. We will not discriminate against you for exercising any of these rights.

a. Access and Correction

You may access, verify, or update your profile information through your account settings. You may also request a copy of the personal information we hold about you.

b. Data Portability

You may request a portable copy of your personal data in a commonly used, machine-readable format.

c. Data Deletion

You may request deletion of your personal information by contacting us at support@niopub.com. We will process deletion requests within thirty (30) days. Certain information may be retained where required by law or for legitimate business purposes.

d. Opt-Out Rights

You may opt out of:

  • Non-essential communications via unsubscribe links in emails;
  • AI training usage of your interaction data by contacting support@niopub.com;
  • Targeted advertising (where applicable) by adjusting your device advertising settings.

We do not sell your personal information. We do not engage in automated decision-making or profiling that produces legal or similarly significant effects on you.

e. Right to Withdraw Consent

Where we rely on your consent to process personal data, you may withdraw that consent at any time by contacting us. Withdrawal of consent does not affect the lawfulness of processing conducted prior to withdrawal.

f. Device Permissions

You may manage app-level permissions (camera, storage, notifications, etc.) in your device settings.

g. Delaware Residents

If you are a Delaware resident, you have rights under the Delaware Personal Data Privacy Act (DPDPA), effective January 1, 2025. These include the right to access, correct, delete, and obtain a portable copy of your personal data, as well as the right to opt out of targeted advertising, data sales, and automated profiling. We honor Global Privacy Control (GPC) signals and other universal opt-out mechanisms as required by the DPDPA. To exercise your rights, contact support@niopub.com. If we deny your request, you may appeal by contacting us, and if unsatisfied, you may file a complaint with the Delaware Department of Justice.

h. California Residents

If you are a California resident, you have rights under the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA). These include:

  • The right to know what personal information we collect, use, disclose, and sell;
  • The right to delete your personal information;
  • The right to opt out of the sale or sharing of personal information (we do not sell or share personal information as defined by the CCPA);
  • The right to correct inaccurate personal information;
  • The right to limit use and disclosure of sensitive personal information;
  • The right to non-discrimination for exercising your rights.

Categories of personal information collected in the preceding 12 months: Identifiers (email, username), internet or network activity (usage data, interaction logs), and inferences drawn from the above. We have not sold personal information in the preceding 12 months.

You may also designate an authorized agent to submit requests on your behalf. To exercise your rights, contact support@niopub.com.

i. EU/UK Residents (GDPR)

If you are located in the European Economic Area (EEA) or United Kingdom (UK), you have additional rights under the General Data Protection Regulation (GDPR), including:

  • The right to restrict processing of your personal data;
  • The right to object to processing based on legitimate interests;
  • The right to lodge a complaint with your local supervisory authority.

Our legal basis for processing your data is: (a) performance of our contract with you (the Terms of Service), (b) your consent where applicable, and (c) our legitimate interests in operating and improving the Service. For data protection inquiries, contact support@niopub.com.

j. Virginia, Colorado, and Connecticut Residents

Residents of Virginia (VCDPA), Colorado (CPA), and Connecticut (CTDPA) have similar rights to access, correct, delete, and port their personal data, and to opt out of targeted advertising, data sales, and certain profiling. To exercise your rights, contact support@niopub.com.

6. Security Measures

We employ reasonable administrative, technical, and physical safeguards, including:

  • Encryption in transit (TLS) and at rest
  • Access controls and audit logging
  • Data minimization principles
  • Security monitoring and threat detection
  • Regular security assessments

However, no method of electronic transmission or storage is fully secure. We cannot guarantee absolute protection of your information.

Users should avoid sharing sensitive personal information (such as financial details, government identifiers, or health information) when interacting with Agents.

Data Breach Notification

In the event of a data breach that is likely to result in a risk to your rights and freedoms, we will notify affected users and relevant authorities as required by applicable law, typically within seventy-two (72) hours of becoming aware of the breach.

7. International Data Transfers

Your information may be transferred to and processed on servers located in the United States and other jurisdictions outside of your region. These jurisdictions may have different data protection laws than your country of residence.

Where required by applicable law (including the GDPR), we rely on appropriate transfer mechanisms such as Standard Contractual Clauses (SCCs) approved by the European Commission to ensure adequate protection for your data. By using the Service, you acknowledge and consent to such transfers.

8. Children's Privacy

The Service is intended for users aged 18 and older. We do not knowingly collect personal information from individuals under 18. We do not knowingly collect personal information from children under 13 as defined by the Children's Online Privacy Protection Act (COPPA).

If we learn that we have collected personal information from a user under 18, we will promptly delete that information and terminate the associated account. If you believe a minor has provided information to us, please contact us immediately at support@niopub.com.

9. Third-Party Links

The Service may include links to third-party websites or services that we do not control. We are not responsible for their content or privacy practices. Please review applicable privacy policies before interacting with third-party sites.

10. Changes to This Privacy Policy

We may update this Privacy Policy periodically. Changes are effective when posted to this page. We will revise the "Last Updated" date when updates occur. Where required by law, we will provide at least thirty (30) days' notice of material changes via email or prominent notice on the Service.
